Terms and Conditions

1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of the services provided by Infrahaus AI Ltd ("Provider", "we", "us", "our"), a company registered in England and Wales with company number [insert number] and registered office at [insert address]. The Services include the Exator platform (private beta) and any other web-based applications, tools, AI features, APIs, or intelligence platforms for energy infrastructure development (collectively, the "Service").

By registering for an account, accessing the Service, or clicking "I Accept" or similar, you ("Customer", "you", "your") agree to be bound by these Terms. If you are entering on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

We may update these Terms from time to time. Continued use after changes constitutes acceptance. We will notify material changes via email or in-app notice.

2. Definitions

Authorised Users
Your employees, contractors, or agents authorised to use the Service.
Customer Data
Any data, inputs, project details, or materials you or your Authorised Users upload, submit, or generate via the Service.
Documentation
User guides, help materials, and specs we make available.
Fees
Subscription or usage fees set out in the applicable Order Form or pricing page.
Order Form
Any ordering document, quote, or signup flow specifying Service details, Fees, term, and limits.
Subscription Term
The initial term and any renewals specified in the Order Form.

3. Provision of the Service

3.1 Subject to your compliance with these Terms and payment of Fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence during the Subscription Term to access and use the Service and Documentation solely for your internal business purposes in connection with energy infrastructure projects, such as renewables, BESS feasibility, site origination, and permitting.

3.2 We will use commercially reasonable efforts to make the Service available 24/7, except for planned maintenance, with notice where practicable, and force majeure events.

3.3 We may modify the Service, for example by adding or removing features, provided it does not materially degrade core functionality. AI outputs are for informational purposes only and should be verified independently.

4. Accounts and Authorised Users

You are responsible for maintaining account security and all activities under your account. You must keep information accurate and notify us of any unauthorised access. Authorised Users must comply with these Terms; you are liable for their actions.

5. Restrictions and Acceptable Use

You shall not, and shall ensure Authorised Users do not:

  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying AI models/algorithms of the Service, except as permitted by law.
  • Use the Service to build a competing product/service or for benchmarking.
  • Copy, modify, distribute, or commercially exploit the Service or outputs beyond permitted use.
  • Upload unlawful, harmful, infringing, or offensive content.
  • Scrape, bulk export, or misuse data in violation of applicable laws or third-party rights.
  • Attempt unauthorised access or interfere with the Service.

Competitors of Infrahaus AI are generally prohibited from accessing the Service without prior written consent.

6. Fees and Payment

Fees are as stated at signup or in the Order Form. Payments are non-refundable, except as required by law. Late payments may incur interest and lead to suspension. We may increase Fees on renewal with notice. All Fees are exclusive of VAT.

7. Intellectual Property

7.1 We, or our licensors, retain all IP rights in the Service, AI models, outputs (except your specific inputs), Documentation, and related technology.

7.2 You retain ownership of your Customer Data. You grant us a limited, royalty-free licence to use, process, and display Customer Data solely as necessary to provide, improve, and support the Service, including training AI models where you opt in or as permitted.

7.3 AI-generated outputs may contain third-party data; you are responsible for verifying accuracy and compliance before reliance.

8. Customer Data and Data Protection

8.1 You are the data controller; we are the data processor for any Personal Data in Customer Data. We will process it only per your instructions and our DPA, incorporated by reference.

8.2 We implement appropriate security measures. You are responsible for the legality and accuracy of Customer Data.

9. Confidentiality

Each party will keep the other's Confidential Information secure and use it only for the purposes of this agreement. Exceptions apply for legal requirements or public information.

10. Warranties and Disclaimers

10.1 We warrant that we will provide the Service with reasonable skill and care and in material compliance with applicable laws.

10.2 Except as expressly stated, the Service is provided "AS IS". We disclaim all other warranties, including merchantability, fitness for purpose, and accuracy of AI outputs or data. Infrastructure/planning data and AI results are not guaranteed error-free or suitable for reliance without independent verification.

11. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability under these Terms shall not exceed the Fees paid by you in the 12 months preceding the claim.
  • We are not liable for indirect, consequential, or special losses, such as lost profits, data loss, or project delays, even if advised of the possibility.
  • Nothing limits liability for death or personal injury, fraud, or other non-excludable liabilities.

12. Indemnity

You agree to indemnify us against claims arising from your Customer Data, misuse of the Service, or breach of these Terms.

13. Termination

13.1 Either party may terminate for material breach, with cure period, or insolvency.

13.2 On termination, access ends, you must cease use, and we may delete Customer Data after a reasonable period, subject to the DPA. Outstanding Fees remain payable.

14. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the English courts.

15. General

Entire Agreement
These Terms, plus the Order Form, DPA, and Privacy Policy, constitute the full agreement.
Severability
Invalid provisions do not affect the rest.
No Waiver
Failure to enforce does not waive rights.
Force Majeure
Neither party is liable for events beyond reasonable control.
Assignment
You may not assign without consent; we may assign to affiliates or successors.
